1. Introduction and Acceptance

Welcome to Papered. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Papered Inc. ("Papered," "we," "us," or "our"), a corporation registered in Ontario, Canada.

By accessing or using the Papered platform—including our website at https://papered.com, web application, and mobile applications for iOS and Android (collectively, the "Platform")—you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Service Level Agreement.

If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including individual real estate agents, brokerages, and their authorized staff.

2. About Papered

Papered is a Software-as-a-Service (SaaS) platform that provides licensed real estate professionals with tools to:

  • Complete Ontario Real Estate Association (OREA) standard forms through guided form wizards
  • Parse and extract data from incoming emails containing real estate offers
  • Generate, send, and track counter-offers
  • Obtain electronic signatures on transaction documents
  • Manage real estate transaction workflows

The Platform is designed exclusively for licensed real estate professionals conducting transactions in Ontario, Canada.

3. Eligibility Requirements

To use the Platform, you must:

  • Be a Licensed Professional: Hold a valid real estate license issued in Ontario, Canada, or be an authorized staff member of a licensed real estate brokerage.
  • Be of Legal Age: Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
  • Have Legal Authority: Possess the legal capacity to enter into binding contracts. If you are using the Platform on behalf of a brokerage or other entity, you represent that you have the authority to bind that entity to these Terms.
  • Provide Accurate Information: Submit truthful, accurate, and complete information during registration and maintain the accuracy of such information.

Papered reserves the right to verify your professional status at any time and to deny, suspend, or terminate access if you do not meet these eligibility requirements.

4. Account Registration and Security

4.1 Creating Your Account

To access the Platform, you must create an account by providing:

  • Your full legal name
  • A valid email address (preferably your official brokerage email)
  • Your brokerage affiliation
  • Additional information as may be required for verification

You agree to keep your account information current and accurate at all times.

4.2 Account Credentials

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying Papered at support@papered.com if you suspect any unauthorized access or security breach

Papered will never ask you for your password via email or phone.

4.3 Security Measures

We implement industry-standard security practices, including:

  • Encrypted password storage using secure hashing and salting
  • TLS/SSL encryption for all data in transit
  • AES-256 encryption for sensitive data at rest
  • Session management with automatic timeouts
  • Role-based access controls

4.4 Authentication Options

We currently offer authentication via email and password. We may introduce additional authentication methods, including:

  • Google and Microsoft Single Sign-On (SSO)
  • Two-factor authentication (2FA)
  • Integration with CREA/OREA membership authentication systems

You agree to comply with any updated authentication requirements we may implement.

5. Subscription and Payment

5.1 Subscription Model

Access to the Platform requires an active paid subscription. Subscriptions are billed on a monthly recurring basis and provide unlimited use of Platform features within your subscription tier.

5.2 Fees and Billing

  • Subscription fees are charged in advance at the beginning of each billing cycle
  • All fees are quoted and payable in Canadian dollars (CAD) unless otherwise specified
  • Fees are non-refundable except as expressly provided in these Terms or required by law
  • You authorize us to charge your designated payment method for all applicable fees

5.3 Fee Changes

We may modify subscription fees upon at least 30 days' prior written notice. Continued use of the Platform after a fee change takes effect constitutes your acceptance of the new fees.

5.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Platform, excluding taxes based on Papered's net income.

5.5 Failed Payments

If a payment fails, we will attempt to notify you and may:

  • Retry the charge using your payment method on file
  • Suspend your access until payment is received
  • Terminate your account after repeated payment failures

6. License Grant and Restrictions

6.1 License to Use the Platform

Subject to your compliance with these Terms, Papered grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for:

  • Completing and managing OREA standard forms
  • Conducting legitimate real estate transactions in your capacity as a licensed professional
  • Purposes directly related to your real estate business

6.2 Permitted Activities

You may use the Platform to:

  • Complete OREA standard forms by entering transaction-specific information
  • Add annotations, comments, and permitted clauses to forms
  • Strike out inapplicable text in designated sections as permitted by form structure
  • Generate, send, and track counter-offers
  • Invite parties to electronically sign documents
  • Download and print completed forms for legitimate business purposes
  • Access your transaction history and audit logs

6.3 Prohibited Activities

You agree NOT to:

Regarding OREA Forms:

  • Copy, reproduce, distribute, or share blank OREA standard forms
  • Modify, alter, or create derivative works of OREA standard forms
  • Use OREA forms for any purpose other than legitimate real estate transactions
  • Attempt to extract, scrape, or download OREA form templates

Regarding the Platform:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform
  • Circumvent, disable, or interfere with security features
  • Use automated scripts, bots, or similar technology to access the Platform
  • Introduce malware, viruses, or other harmful code
  • Interfere with or disrupt the Platform's operation or infrastructure
  • Access data or transactions not belonging to you
  • Share your account credentials with unauthorized individuals
  • Allow non-licensed individuals to access the Platform through your account
  • Use the Platform for any illegal, fraudulent, or unauthorized purpose

6.4 Consequences of Violation

Violation of these restrictions may result in immediate suspension or termination of your account, forfeiture of fees paid, and potential legal action.

7. OREA Standard Forms

7.1 Authorized Use

Papered is licensed by the Ontario Real Estate Association to provide OREA standard forms within the Platform. These forms are provided in a read-only template format. You may fill in fields and add permitted content but cannot modify the underlying form structure or standard language.

7.2 Intellectual Property Protection

OREA standard forms are copyrighted materials owned by the Ontario Real Estate Association. You acknowledge and agree that:

  • You acquire no ownership rights in OREA forms through your use of the Platform
  • OREA forms may only be used for their intended purpose in real estate transactions
  • Completed forms may only be shared with parties directly involved in the transaction (clients, lawyers, other agents, regulatory bodies)
  • We implement technical safeguards including watermarking and access controls to protect OREA's intellectual property

7.3 Compliance

You agree to comply with all OREA guidelines regarding the use of standard forms. Violations may result in suspension or termination of your access to OREA forms and reporting to OREA and applicable regulatory bodies.

8. Electronic Signatures

8.1 E-Signature Functionality

The Platform includes electronic signature capabilities allowing you to:

  • Prepare documents for signature
  • Invite clients and other parties to sign electronically
  • Track signature status and completion
  • Generate audit trails for signed documents

8.2 Consent to Electronic Signatures

By using the Platform's electronic signature functionality, you and the parties you invite to sign documents expressly consent to:

  • Conducting transactions by electronic means
  • Using electronic signatures in lieu of handwritten signatures
  • Receiving documents in electronic form
  • The electronic signature process described in this Section

Each signer provides their consent by completing the electronic signature process. This consent satisfies the requirements of the Ontario Electronic Commerce Act, 2000 (Section 11).

8.3 Signature Process

When a document is sent for signature:

  • Each signer receives a unique, secure link via email or text message
  • The signer reviews the document and is guided to all required signature fields
  • The signer must affirmatively indicate their intent to sign (e.g., by clicking "Sign" or drawing their signature)
  • Upon signing, the signature is cryptographically linked to the document and affixed with a timestamp, signer details, and IP address
  • Once all parties have signed, the document is locked against further modification
  • A final signed PDF is generated and stored securely with a complete audit trail

The electronic signature method used is reliable and appropriate for the purpose, as required by the Ontario Electronic Commerce Act, 2000.

8.4 Legal Validity

Papered's electronic signature process is designed to comply with:

  • The Ontario Electronic Commerce Act, 2000
  • The federal Personal Information Protection and Electronic Documents Act (PIPEDA)
  • Applicable Canadian electronic commerce legislation

Documents signed electronically through the Platform are intended to be legally binding and enforceable. The electronic record of each signed document satisfies any legal requirement that a document be in writing or retained in its original form, as the record:

  • Accurately reflects the information in the document
  • Remains accessible and usable for subsequent reference
  • Is stored in a format that preserves its integrity

8.5 Your Responsibilities

You are responsible for:

  • Ensuring all signatories are authorized to sign the relevant documents
  • Verifying the identity of signatories to your reasonable satisfaction
  • Ensuring signatories have consented to transact electronically
  • Complying with any regulatory requirements regarding identification and verification (e.g., RECO, FINTRAC)
  • Providing paper copies of documents to any party who withdraws consent to electronic transactions

9. Regulatory Compliance

9.1 RECO Compliance

As a licensed real estate professional in Ontario, you are subject to regulation by the Real Estate Council of Ontario (RECO) and must comply with the Trust in Real Estate Services Act, 2002 (TRESA), its regulations, and RECO's Code of Ethics.

You acknowledge and agree that:

  • Your use of the Platform does not diminish or alter your professional obligations under TRESA and RECO regulations
  • You remain solely responsible for ensuring your transactions comply with all RECO requirements
  • You must maintain appropriate records as required by RECO, which may include retaining copies of documents outside the Platform
  • Your brokerage is responsible for supervising your use of the Platform in accordance with RECO requirements
  • Papered is a technology provider and does not provide real estate brokerage services or professional advice

9.2 FINTRAC Compliance

You acknowledge that certain real estate transactions may be subject to reporting and record-keeping requirements under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and FINTRAC regulations.

You are solely responsible for:

  • Identifying clients and verifying their identity as required by FINTRAC
  • Maintaining required records of identity verification
  • Reporting suspicious transactions and large cash transactions as required
  • Complying with all other FINTRAC requirements applicable to your transactions

The Platform may provide tools to assist with record-keeping, but such tools do not replace your independent obligations to comply with FINTRAC requirements.

9.3 Other Regulatory Obligations

You are responsible for complying with all other laws and regulations applicable to your real estate practice, including but not limited to:

  • The Real Property Limitations Act
  • The Land Titles Act and Registry Act
  • The Planning Act
  • Applicable municipal by-laws and zoning regulations
  • The Canadian Anti-Spam Legislation (CASL) for any commercial electronic messages you send

10. Data and Document Management

10.1 Document Storage

Completed and signed documents are stored securely on the Platform with:

  • Encryption at rest using AES-256
  • Access controls limiting visibility to authorized users
  • Comprehensive audit logging of all document actions

10.2 Access and Sharing

  • Only users associated with a transaction may access its documents
  • Documents may be downloaded as PDFs by authorized users
  • Downloaded documents may include watermarks identifying the source and authorized user
  • Shared links for signing or review may be configured to expire after a defined period

10.3 Audit Trail

The Platform maintains a detailed audit trail for each document, recording:

  • Creation and modification timestamps
  • User actions (viewing, editing, sending, signing)
  • IP addresses associated with actions
  • Signature timestamps and signer information

10.4 Document Retention

Documents are retained on the Platform in accordance with our retention policies and applicable legal requirements. You are encouraged to download and maintain your own copies of important documents for your records.

11. Ownership and Intellectual Property

11.1 Papered's Intellectual Property

The Platform, including its software, code, design, user interface, graphics, logos, and all content created by Papered (excluding OREA forms and User Content), is owned by Papered and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on any part of the Platform without our prior written consent.

11.2 OREA's Intellectual Property

OREA standard forms remain the exclusive property of the Ontario Real Estate Association. Your license to use these forms is strictly limited to the purposes described in these Terms.

11.3 Your Content

You retain ownership of all data, documents, and content you create or upload to the Platform ("User Content"). By using the Platform, you grant Papered a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving our services.

11.4 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant Papered an unlimited, irrevocable, perpetual license to use such feedback for any purpose without compensation to you.

12. Privacy and Data Protection

12.1 Privacy Policy

Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in our Privacy Policy.

12.2 Your Privacy Obligations

When using the Platform, you may handle personal information belonging to your clients and other parties. You agree to:

  • Obtain all necessary consents before uploading personal information to the Platform
  • Use personal information only for legitimate transaction purposes
  • Comply with applicable privacy laws, including PIPEDA

12.3 Data Security

We maintain industry-standard security measures to protect data on the Platform. However, no system is completely secure. You acknowledge that you use the Platform at your own risk and that we cannot guarantee absolute security.

13. Service Availability and Support

13.1 Service Level Agreement

Our service availability and support commitments are detailed in our Service Level Agreement. Key commitments include:

  • 99.5% uptime target (excluding scheduled maintenance)
  • Advance notice for scheduled maintenance
  • Tiered response times for support requests

13.2 Modifications to the Platform

We may modify, update, or discontinue features of the Platform at any time. We will endeavor to provide reasonable notice of material changes that may affect your use of the Platform.

Support hours are Monday through Friday during regular business hours (Eastern Time), excluding statutory holidays.

14. Third-Party Services

14.1 Third-Party Integrations

The Platform may integrate with third-party services, including:

  • Cloud infrastructure providers (Amazon Web Services)
  • Email service providers
  • Electronic signature services
  • Payment processors

Your use of third-party services may be subject to additional terms and privacy policies.

14.2 Third-Party Links

The Platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites.

15. Disclaimers

15.1 "As Is" Provision

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

15.2 No Legal Advice

Papered provides technology tools to assist with real estate documentation. We do not provide legal, tax, financial, or professional advice. You are responsible for:

  • Ensuring the accuracy and appropriateness of all information entered into forms
  • Seeking independent professional advice as needed
  • Complying with all applicable laws and regulations

15.3 No Guarantee of Results

We do not guarantee that:

  • The Platform will meet your specific requirements
  • The Platform will be uninterrupted, timely, secure, or error-free
  • Results obtained through the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected

16. Limitation of Liability

16.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAPERED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT OR CONTENT

16.2 Cap on Liability

IN NO EVENT SHALL PAPERED'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF:

  • THE TOTAL FEES PAID BY YOU TO PAPERED IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR
  • ONE HUNDRED CANADIAN DOLLARS (CAD $100)

16.3 Exclusions from Cap

THE LIMITATIONS IN SECTION 16.2 DO NOT APPLY TO:

  • YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 17
  • YOUR BREACH OF SECTION 6 (LICENSE RESTRICTIONS) OR SECTION 7 (OREA FORMS)
  • EITHER PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT
  • PAPERED'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 17.3

16.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

17. Indemnification

17.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Papered and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Your misuse or unauthorized use of OREA standard forms
  • Any dispute between you and any third party (including clients, other agents, or transaction participants)
  • Your User Content

17.2 Indemnification Procedures

As a condition of indemnification:

  • The indemnified party must promptly notify you in writing of any claim for which indemnification is sought
  • You shall have the right to control the defense and settlement of any such claim, provided that you may not settle any claim in a manner that adversely affects the indemnified party without their prior written consent
  • The indemnified party shall reasonably cooperate with you in the defense of any claim, at your expense
  • The indemnified party may participate in the defense of any claim with counsel of their choosing, at their own expense

Failure to provide prompt notice shall not relieve you of your indemnification obligations except to the extent such failure materially prejudices your ability to defend the claim.

17.3 Papered's Indemnification

Papered agrees to indemnify, defend, and hold harmless you from and against any third-party claim that the Platform (excluding OREA forms and User Content) infringes any Canadian patent, copyright, or trademark, provided that:

  • You promptly notify us in writing of any such claim
  • You grant us sole control of the defense and settlement
  • You reasonably cooperate with us at our expense

If the Platform is held or is reasonably believed to infringe, we may, at our option: (a) modify the Platform to be non-infringing; (b) obtain a license for your continued use; or (c) terminate your access and refund prepaid fees for the unused subscription period.

This indemnification does not apply to claims arising from: (i) your modification of the Platform; (ii) your combination of the Platform with other products or services; or (iii) your continued use after we notify you to cease use.

18. Termination

18.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through the Platform settings; or
  • Contacting us at support@papered.com

Upon termination, you will retain access until the end of your current billing period but will not receive a refund for any unused portion.

18.2 Termination by Papered

We may suspend or terminate your account immediately and without prior notice if:

  • You breach any provision of these Terms
  • You engage in fraudulent, illegal, or harmful conduct
  • We are required to do so by law or regulatory authority
  • Your payment fails and remains unresolved
  • We reasonably believe continued access poses a security risk

For other situations, we will provide reasonable notice before termination.

18.3 Effect of Termination

Upon termination:

  • Your license to use the Platform immediately ends
  • You must cease all use of the Platform
  • You should download any documents you wish to retain prior to termination
  • We may delete your data after a reasonable retention period, subject to legal requirements
  • You must destroy any copies of OREA forms in your possession, except completed forms retained for compliance purposes
  • Provisions that by their nature should survive termination will survive (including Sections 11, 15, 16, 17, and 20)

19. Service Discontinuation

In the unlikely event Papered discontinues the Platform, we will:

  • Provide at least 60 days' advance notice to all users
  • Provide tools and assistance to download your documents and transaction data
  • Offer to assist with transferring records to an alternative platform, if applicable
  • Securely delete all user data following the discontinuation period
  • Provide certification of data destruction upon request

20. Dispute Resolution

20.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

20.2 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at support@papered.com to attempt to resolve any dispute informally. We will work in good faith to address your concerns within 30 days.

20.3 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the ADR Institute of Canada in accordance with its arbitration rules. The arbitration shall:

  • Take place in Toronto, Ontario
  • Be conducted in English
  • Be confidential, with neither party disclosing the existence, content, or results of the arbitration except as required by law

Each party shall bear its own costs of arbitration, with the arbitrator's fees and administrative costs shared equally unless the arbitrator determines otherwise. The arbitrator's decision shall be final and binding.

20.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

20.5 Small Claims Court

Notwithstanding Section 20.3, either party may bring an individual action in small claims court if the claim is within that court's jurisdiction.

20.6 Limitation Period

Any claim arising out of or related to these Terms must be brought within one (1) year after the cause of action arises, or such claim shall be permanently barred. This limitation period shall not apply to claims for which a longer period is required by applicable law.

20.7 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

20.8 Exclusive Jurisdiction

For any matters not subject to arbitration, the courts of the Province of Ontario shall have exclusive jurisdiction, and you consent to the personal jurisdiction of such courts.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy, Service Level Agreement, and any other documents incorporated by reference, constitute the entire agreement between you and Papered regarding your use of the Platform.

21.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on the Platform with a new "Last Updated" date
  • Sending an email to your registered email address
  • Displaying a prominent notice within the Platform

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

21.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

21.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

21.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

21.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to Papered should be sent to support@papered.com or by mail to:

21.7 Language

These Terms were drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.

21.8 Force Majeure

Papered shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
